These Terms of Service ("Terms") constitute a legally binding agreement between you, or the entity you represent ("Customer," "you," or "your"), and Huit.AI, Inc., a company operating under the ZenoPay brand ("ZenoPay," "we," "us," or "our").
By executing an order form, accessing the ZenoPay dashboard, or using any ZenoPay service, you represent that you have the authority to bind yourself or your organization to these Terms.
ZenoPay provides an autonomous payment intelligence platform that includes multi-rail payment routing, fraud detection, subscription lifecycle management, payout disbursement, churn intelligence, and continuous self-improvement capabilities ("the Platform" or "Services").
Shadow Mode. By default, the Platform operates in shadow mode, meaning the autonomous brain will reason about and log decisions without executing real financial transactions. Live execution requires explicit activation by Customer through configuration settings.
No Guarantee of Availability. The Platform is currently in an active development phase. We do not guarantee uninterrupted availability, and features described in marketing materials may be in varying stages of deployment.
Subject to these Terms and payment of applicable fees, ZenoPay grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the term of your subscription solely for your internal business operations.
You may not sublicense, resell, or make the Platform available to third parties except as expressly permitted in a separate white-label or platform license agreement with ZenoPay.
You are responsible for:
Fees are billed monthly in advance based on your selected tier. All fees are exclusive of applicable taxes. Processor fees charged by third-party payment processors are separate from ZenoPay's platform license fee and pass through at cost — ZenoPay does not mark up processor fees.
Invoices are due within 30 days of issuance. Overdue accounts may result in suspension of access. Annual contract pricing is locked for the contract term and will not be increased unilaterally.
You agree not to use the Platform to:
Payment Data. ZenoPay does not store raw card numbers (PANs). Payment credentials are stored as encrypted processor tokens using AES-256-GCM encryption. You retain ownership of your customer data.
Audit Logs. All autonomous decisions made by the Platform on your behalf are logged in an append-only audit log. This log is immutable — records cannot be modified or deleted — and is available to you for compliance and review purposes.
Security Practices. We maintain commercially reasonable security measures. You are responsible for securing your own API credentials and access configurations.
PCI Compliance. ZenoPay is designed to reduce your PCI DSS scope by avoiding raw card data storage. However, your overall PCI compliance obligations depend on your complete payment stack and are your responsibility to assess.
The Platform uses artificial intelligence to make autonomous decisions related to payment routing, fraud detection, churn intervention, and subscription management. You acknowledge and agree that:
ZenoPay retains all rights, title, and interest in the Platform, including its algorithms, models, and underlying technology. These Terms do not transfer any intellectual property rights to you.
You retain all rights to your customer data and business data. You grant ZenoPay a limited license to process your data solely to provide the Services.
Each party agrees to keep the other's confidential information confidential, using at least the same degree of care it uses to protect its own confidential information, and not to disclose such information to third parties without prior written consent.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ZENOPAY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC OUTCOME WILL BE ACHIEVED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENOPAY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ZENOPAY IN THE THREE MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL ZENOPAY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless ZenoPay and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach upon 30 days' written notice if the breach is not cured within that period. ZenoPay may suspend access immediately for violations of the Acceptable Use provisions.
Upon termination, your license to use the Platform ceases. You may request an export of your audit log data within 30 days of termination.
These Terms are governed by the laws of the State of Alaska, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, conducted in Anchorage, Alaska.
We may update these Terms from time to time. We will notify you of material changes by email or through the Platform dashboard at least 30 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
